Terms of Business

1. Agreement to Terms

These Terms of Business ("Terms") govern your access to and use of Juan Social (the "Service"), operated by You Are Amazing Pty Ltd, registered in Victoria, Australia ("we," "us," "our"). By creating an account or purchasing access, you agree to these Terms.

2. Eligibility

Juan Social is a business-to-business (B2B) Service, intended for use by business owners and operators in connection with their business. By using the Service, you confirm you are acting in a business capacity and are at least 18 years of age. We do not knowingly offer the Service to consumers acting in a personal capacity or to individuals under 18.

3. The Service

Juan Social allows you to:

• Generate AI-assisted replies to customer reviews and comments
• Generate AI-assisted captions
• Create branded graphics using our templates (Quote, Polaroid, Frame, Text Overlay, Split, Handwritten, SMS)
• Apply a saved brand kit (logo and AI-derived brand voice) automatically across generated content

Features, templates, and AI credit allowances vary by plan (see Section 5).

4. AI-Generated Content Disclaimer

Replies, captions, and brand voice analysis are generated using third-party AI models (Anthropic Claude, OpenAI, and/or Google Gemini, depending on system configuration). While we design the Service to produce relevant, on-brand output, we do not guarantee the accuracy, appropriateness, or fitness of any AI-generated content for a specific purpose. You are responsible for reviewing and editing any AI-generated reply, caption, or content before publishing it publicly or sending it to a customer.

5. Plans, Pricing & AI Credits

• Entry Plan ($7 one-time): Includes 50 AI credits (covering AI Replies, AI Captions, and future AI-powered features) and unlimited use of the Quote template, for life.
• Founders Plan: Includes 1,000 AI credits and access to all templates (Quote, Polaroid, Frame, Text Overlay, Split, Handwritten, SMS), for life.
• Additional plans (e.g., subscription tiers) may be introduced; their terms will be disclosed at time of purchase.

AI credits are consumed by AI Reply, AI Caption, and future AI-powered generation features. Template usage (aside from AI generation triggered within a template, such as SMS reply generation) does not consume credits. Once credits are exhausted, AI generation features become unavailable until upgraded, but access to included templates (per your plan) continues unaffected, for life.

We reserve the right to change pricing, credit allowances, or introduce new plans for future purchases; changes will not retroactively reduce credits or access already purchased.

6. Payments

All payments are processed securely via Stripe. By purchasing, you authorize us (via Stripe) to charge your selected payment method for the applicable amount. Prices are listed in USD unless otherwise stated.

7. Refund Policy

We offer a 14-day refund policy from the date of purchase. If you are not satisfied with the Service within 14 days of your purchase, contact us at support@juansocial.com to request a refund. Refunds requested after 14 days from purchase are not guaranteed and will be considered at our discretion.

This refund policy applies to both the Entry Plan and Founders Plan purchases.

8. Intellectual Property

Your Content: You retain full ownership of the reviews, text, images, and other content you input into the Service, as well as the replies, captions, and graphics generated for you using that content ("Your Content"). We claim no ownership over Your Content.

Our Platform: Juan Social retains all rights, title, and interest in and to the Service itself, including the underlying software, templates (Quote, Polaroid, Frame, Text Overlay, Split, Handwritten, SMS), design system, and branding. Nothing in these Terms grants you any right to copy, resell, or redistribute the Service, its templates, or its underlying technology outside of your intended use of generating your own branded content.

9. Acceptable Use

You agree not to use Juan Social to:

• Generate false, misleading, defamatory, or fraudulent reviews or replies
• Violate the terms of service of any third-party platform (e.g., Google, Yelp, Facebook, YouTube, Instagram, TikTok) on which you post or reply
• Infringe on the intellectual property or rights of others
• Attempt to reverse-engineer, resell, or misuse the Service or its templates outside intended use

10. Third-Party Platforms

Juan Social is designed to help you create content for posting to third-party platforms (e.g., Google Business Profile, Yelp, Facebook, Instagram, YouTube). We are not affiliated with, endorsed by, or responsible for these platforms, their policies, or any consequences arising from your use of them.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available." To the maximum extent permitted by applicable law (including under Australian Consumer Law, which may provide guarantees that cannot be excluded), we disclaim all warranties, express or implied, regarding the Service, including fitness for a particular purpose or non-infringement.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law or any other applicable law that cannot lawfully be excluded.

12. Limitation of Liability

To the maximum extent permitted by law, You Are Amazing Pty Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to loss of business, revenue, or reputation arising from AI-generated content you choose to publish.

13. Termination

We may suspend or terminate your access to the Service for breach of these Terms. You may stop using the Service at any time. Termination does not entitle you to a refund outside the terms of Section 7.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Victoria, Australia. Any disputes arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts of Victoria, Australia, regardless of your location.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected with a new "Last Updated" date. Continued use of the Service after changes constitutes acceptance of the updated Terms.
